 ("BrainJuicer" and the "Company")

Grant of Options

The Company announces that it has today granted a total of 1,124,268 stock options and conditional shares to certain executive directors and PDMRs (the "LTIP Awards"), as set out below, in accordance with the terms of the LTIP plan (the "2017 LTIP") approved by shareholders at the General Meeting of the Company held on 22 March 2017.  

Terms of the LTIP Awards are set out below, full details of the 2017 LTIP can be found in the 2017 Notice of AGM on the Company's website at www.brainjuicer.com.

The share options are nil cost and will vest on 12 August 2021, subject to the following criteria:

(a) Vesting is dependent on achievement of stretching performance conditions.  Maximum vesting requires gross profit in the Company's financial year ending 31 March 2021 of 2.85 times that in the year ending 31 March 2017 (30% p.a. compound growth)

(b) In addition, there are profit after tax and share price underpins (the profit after tax underpin being 20% p.a. compound growth at the maximum level)
