         Shareholding in Tanfield Group Plc ('Tanfield' 'the Company')

The Company was on 13 December 2004 notified by Chairman, John Pither, and Chief
Executive, Roy Stanley, that they had each acquired £187,500 in 8.5% Convertible
Unsecured Loan Notes in the Company convertible into 1,973,684 ordinary shares
of 1p each.

Excluding any shares that would result from conversion of these loan notes Mr
Pither's holding remains 1,099,948 ordinary shares representing 0.008 per cent
and Mr Stanley's 40,632,,074 ordinary shares representing 30.337 per cent.
