Holding in Company

The Company was today notified that Lloyds TSB Development Capital Limited
('LDC') no longer has a notifiable interest in the ordinary share capital of the
Company. On 13 February 2002, the 1,573,630 ordinary shares in comeleon plc held
by LDC were placed with institutional and other clients of Brewin Dolphin
Securities.


The Company received notification yesterday portfolios under the management of
Exeter Asset Management Limited now have an interest in 1,210,000 ordinary
shares of 1p each in the Company representing 9.49 per cent of the issued share
capital of that class.


The Company also received notification yesterday that Edinburgh Fund Managers
Group plc now has a notifiable interest in 1,669,149 ordinary shares of 1p each
in the Company representing 13.08 per cent of the issued share capital of that
class. Of this total, 1,010,300 ordinary shares, representing 7.9 per cent of
the issued share capital of the Company, are registered in the name of BNY (OCS)
Nominees Ltd and 478,849 ordinary shares, representing 3.8 per cent of the
issued share capital of the Company, are registered in the name of Roy Nominees
Ltd.


The Company also received notification yesterday that Canada Life Marketing
Group now has a notifiable interest in 625,000 ordinary shares of 1p each
representing 4.9 per cent of the issued share capital of that class.
