Subject: Pronouncement of Order by the Hon'ble National Company Law Tribunal, Kolkata Bench sanctioning the Scheme of Amalgamation amongst Tata Steel Limited and The Tinplate Company of India Limited and their respective shareholders

This is further to our disclosures dated September 22, 2022, June 28, 2023 and October 20, 2023, in connection with the Scheme of Amalgamation amongst Tata Steel Limited ('Transferee Company / Company') and The Tinplate Company of India Limited ('Transferor Company') and their respective shareholders ('Scheme of Amalgamation'), under the provisions of Sections 230 to 232 and other applicable provisions of the Companies Act, 2013 read with the Rules framed thereunder.

This is to inform you that the Hon'ble National Company Law Tribunal, Kolkata Bench ('Hon'ble NCLT'), having jurisdiction over the Transferor Company, has pronounced the Order, sanctioning the aforesaid Scheme of Amalgamation ('Order') on January 1, 2024. Further, the Scheme of Amalgamation was approved and sanctioned by the National Company Law Tribunal, Mumbai Bench, having jurisdiction over the Company, vide its order dated October 20, 2023 and the Company had informed the same to the stock exchanges on even date.

The copy of the Order as available on the website of the Hon'ble NCLT is enclosed.

This disclosure is being made in terms of Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.
