On 27 June 2001, the Tate & Lyle Employee Benefit Trust (Number 1) (the Trust)
bought 200,000 Ordinary shares of 25 pence each at an average price of 284.84
pence per share.  By virtue of their interests in the Tate & Lyle 2000
Executive Share Option Scheme, the Executive Directors of Tate & Lyle are
potential beneficiaries of the Trust and are thus deemed to have become
interested in the above shares.  Following this transaction the Trust owns
4,404,493 Ordinary shares in Tate & Lyle PLC.
