The Tate & Lyle Employee Benefit Trust (Number 1) (the 'Trust')
Notification of Directors' Interests pursuant to section 324(2) of the
Companies Act 1985
On 3 August 2000, the Trust bought 49,903 Ordinary shares of 25 pence each at
an average price of 294.08 pence per share. By virtue of their interests in
the Tate & Lyle 2000 Executive Share Option Scheme, the Executive Directors of
Tate & Lyle are potential beneficiaries of the Trust and are thus deemed to
have become interested in the above shares. Following this transaction the
Trust owns 191,166 Ordinary shares in Tate & Lyle PLC
