Thames Water Plc confirms that all Resolutions set out in the Notice of
Meeting were approved by shareholders at the Annual General Meeting held on 25
July 2000.
The results of the polls called by a shareholder were as follows:
Resolution 1: to receive the Report and Accounts
Votes in favour 199,922,286
Votes against 156,906
Resolution carried by a majority of 199,765,380 votes in favour.
Resolution 10: to authorise the Company to make market purchases of up to 10%
of the issued ordinary share capital
Votes in favour 200,100,710
Votes against 391,636
Resolution carried by a majority of 199,709,074 votes in favour.
Following the approval of Resolution 11, holders of Thames Water B Shares are
being offered another opportunity to sell their shares free from all dealing
commissions and stamp duties. The repurchase offer will take place on 15
September 2000. Repurchases will be made at the lower of (a) 79p and (b) 105
per cent of the average middle market quotations for the B shares as derived
from the London Stock Exchange Daily Official List, for the five business days
preceding the purchase (exclusive of expenses), being the maximum price at
which the Company is permitted to make repurchases.
Shareholders who wish to take up the offer are requested to fill in the
repurchase offer form on the reverse of their B share certificate, or (in the
case of shares held within CREST) effect the appropriate CREST repurchase
instruction, and return it to the Company's registrars, Computershare Services
PLC, at P O Box 1169, The Pavilions, Bridgwater Road, Bristol,BS99 2PJ.
Completed repurchase forms (or the appropriate CREST repurchase instruction)
should be sent so as to be received not later than 12 September 2000. CREST
accounts will be credited and/or cheques in respect of sale proceeds will be
remitted to shareholders within 14 days of the repurchase date.
