Thames Water Plc B Share Repurchase
Thames Water Plc announces that the following purchase of B shares has taken
place, in respect of acceptances received under the Repurchase Offer announced
on 26 July 2000.

Number of B Shares purchased 1,173,818
Price per share 78.5 pence
Thames Water Plc has also today been notified that Mr W J Alexander and Mr D
Badcock, directors of Thames Water Plc, each sold 40 B shares which had been
held in trust under the Thames Water Profit Sharing Scheme until 1 August
2000. These sales were effected as part of the repurchase undertaken by the
Company, shown above. Following the sale Mr W J Alexander and Mr D Badcock
have no further B shares.
A total of 92.93% of the B shares issued pursuant to the Capital
Reorganisation on 10 August 1998 have now been repurchased and 26,876,964
remain in issue.
The shares were purchased by Cazenove & Co acting as agent for the Company.
All the B Shares purchased will be cancelled and will not be reissued.
