1. Purchase of 235 shares as the fourth quarterly purchase of shares under the
company's Section 423 Plan for its US employees (2005 Offer).
Under the Plan, employees save a fixed amount each month, which is used to
purchase shares of Taylor Woodrow plc on a quarterly basis at 15% below
the lower of the middle market price on (a) the day preceding the first offer
of the annual Plan (31 March 2005) and (b) the quarter end date (31 March 2006).
The shares are held by the Plan administrator until called for by the
participant.
2. Award of an option to purchase up to 873 shares under the
company's Section 423 Plan for its US employees (2006 Offer).
The shares would be purchased by the employee on a quarterly basis at 15% below
the lower of the middle market price on (a) the day preceding the first offer
of the annual Plan (31 March 2006) and (b) the respective quarter dates
(30 June 2006, 30 September 2006, 31 December 2006 and 2 April 2007).
The shares so purchased would be held by the Plan administrator until
called for by the participant.
