Share Transfers



Taylor Woodrow plc ('the Company') has been notified of the transfer on 4
October 2006 of 73,866 25p ordinary shares of the Company ('Shares') by the
Taylor Woodrow Employee Share Ownership Trust 1995 ('ESOT 1').


These Shares have been transferred to employees who validly exercised options
granted over Shares pursuant to the Taylor Woodrow Executive Share Option Plan.


Where individual employee interests arising from this transaction are themselves
reportable, appropriate disclosure has been made.


Following this disposal, the ESOT 1 held 2,589,838 Shares.


Share Purchases


The Company has also been notified that on 4 October 2006, the ESOT 1 purchased
200,000 (two hundred thousand) Shares at 353.4144p per Share.



Following the above purchase, the ESOT 1 holds 2,789,838 Shares.



The Company has also been advised that on 4 October 2006, the Taylor Woodrow
Employee Ownership Trust 2004 ('ESOT 2') purchased 40,000 (forty thousand)
Shares at 353.4144p per Share.



Following the above purchase, the ESOT 2 holds 240,000 Shares.



General Information



The said Shares in ESOT 1 were purchased to meet future maturing options under
the Taylor Woodrow Executive Share Option Plan and Taylor Woodrow
Savings-Related Share Option Schemes and the Taylor Woodrow Executive Bonus
Plan. The Shares in ESOT 2 were purchased to meet future maturing options under
the Taylor Woodrow Performance Share Plan and the Taylor Woodrow Deferred Bonus
Plan.



Each of the executive directors of the Company is a potential beneficiary under
both ESOT 1 and ESOT 2 and therefore, in accordance with section 329 Companies
Act 1985, is regarded as having a notional interest in the current holdings of
both ESOT 1 and ESOT 2 of 2,789,838 and 240,000 Shares, respectively.
