Taylor Woodrow Employee Share Ownership Trusts
Share Transfers
Taylor Woodrow plc ('the Company') has been notified of the transfer on 9
October 2006 of 179,888 25p ordinary shares of the Company ('Shares') by the
Taylor Woodrow Employee Share Ownership Trust 1995 ('ESOT 1').
These Shares have been transferred to employees who validly exercised options
granted over Shares pursuant to the Taylor Woodrow Executive Share Option Plan,
the Taylor Woodrow Long Service Award and The Taylor Woodrow Share Purchase
Plan.
Where individual employee interests arising from this transaction are themselves
reportable, appropriate disclosure has been made.
Following this disposal, the ESOT 1 held 2,609,943 Shares.
Share Purchase
The Company has also been notified that on 9 October 2006, the ESOT 1 purchased
165,000 (one hundred and sixty five thousand) Shares at 352.453p per Share.
Following the above purchase, the ESOT 1 holds 2,774,943 Shares.
General Information
The said Shares in ESOT 1 were purchased to meet future maturing options under
the Taylor Woodrow Executive Share Option Plan and Taylor Woodrow
Savings-Related Share Option Schemes and the Taylor Woodrow Executive Bonus
Plan.
Each of the executive directors of the Company is a potential beneficiary under
ESOT 1 and therefore, in accordance with section 329 Companies Act 1985, is
regarded as having a notional interest in the current holdings of ESOT 1 of
2,774,943 Shares.
