Share Transfers

Taylor Woodrow plc ('the Company') has been notified of the transfer on 10 May
2007 of 2,600,000 (two million six hundred thousand) 25p ordinary shares of the
Company ('Shares') from the Taylor Woodrow Employee Share Ownership Trust 1995
('ESOT 1') to the Taylor Woodrow Employee Ownership Trust 2004 ('ESOT 2').

ESOT 2 purchased these Shares from ESOT 1 at a price of 260p per share, to meet
maturing options under the Taylor Woodrow 2004 Performance Share Plan ('PSP 
2004') awarded on 10 May 2004.

The Company has also been notified that on 10 May 2007, a total of 1,508,540
Shares were transferred from ESOT 2 to employees who validly exercised options
granted over Shares pursuant to the PSP 2004.

Where individual employee interests arising from this transaction are themselves
reportable, appropriate disclosure has been made.

Following this disposal, the ESOT 2 held 1,226,458 Shares. The total number of
Shares held by ESOT 1 was 1,030,436.

Each of the executive directors of the Company is a potential beneficiary under
both ESOT 1 and ESOT 2 and therefore, in accordance with section 329 Companies
Act 1985, is regarded as having a notional interest in the current holdings of
both ESOT 1 and ESOT 2 of 1,030,436 and 1,226,458 Shares, respectively.
