The Wilson Connolly Employee Benefit Trust Limited
Taylor Woodrow plc ('the company') has been notified that on 2 December 2005,
The Wilson Connolly Employee Benefit Trust Limited ('EBT') purchased 350,000
ordinary shares of 25p each in the company ('shares') at an average price per
share of 339.8563 pence.
The said shares were purchased to meet the future maturing options under the
Taylor Woodrow Savings-Related Share Option Schemes.
Following the purchase, the EBT holds 372,442 shares.
Subsequent to the purchase of shares by the EBT, the company has also been
notified of the transfer on 2 December 2005 of 346,382 shares by the EBT. These
shares have been transferred to employees who validly exercised options granted
over shares pursuant to the Taylor Woodrow Savings-Related Share Option Scheme.
Following this disposal, the EBT now holds 26,060 shares.
Each of the executive directors of the company is a potential beneficiary under
the EBT and therefore, in accordance with section 329 Companies Act 1985, is
regarded as having a notional interest in the EBT holding of 26,060 shares.
