On 5 June 2002 the Taylor Woodrow plc Employee Share Ownership Trust ('ESOT')
purchased 204,816 ordinary shares of 25p each in Taylor Woodrow plc at an
average cost of 200.4883p per share.

The said shares were purchased to meet future maturing options under the Taylor
Woodrow Senior Executive Share Option Scheme or the Taylor Woodrow Executive
Share Option Plan.

There is no change to the notional interest of Executive Directors of Taylor
Woodrow plc in the unappropriated balance of shares held in the ESOT. That
balance is 4,560 shares.
