On 20 May 2002 the Taylor Woodrow plc Employee Share Ownership Trust ('ESOT')
purchased 15,831 ordinary shares of 25p each in Taylor Woodrow plc at 215.5p per
share.
The said shares were purchased to meet a maturing option under the Taylor 
Woodrow Executive Share Option Plan.

There is no change to the notional interest of Executive Directors of Taylor
Woodrow plc in the unappropriated balance of shares
held in the ESOT. That balance remains 3,958 shares.
