If the performance condition is met, the Taylor Woodrow 2004 Employee Benefit
Trust will
announce on 10 May 2007 whether, and to what extent, the share award vests.
The performance condition is that for 50% of the above awards to vest, Group
earnings per share
for the three financial years prior to the vesting date shall be not less than
real 3% p.a. compound.
For 100% (the maximum) of the above awards to vest, Group eps for the same
period shall be not less
than real 6% compound.
