Directors' Notification of Dealing in Shares

Thames Water Plc hereby gives notice that on the 28 and 29 March 2000 the
Trustee of the Thames Water Long Term Restricted Share Plan and the Thames
Water Cash/Share Bonus Plan ('the Schemes') acquired a total of 169,545 for
the purposes of the Schemes.  116,741 shares were acquired at a price of £7.28
per share on 28 March and 52,804 shares were acquired at a price of £7.47 per
share on 29 March.

W J Alexander, D Badcock and D J Luffrum in their capacity as members of the
beneficiaries under the Schemes are deemed to have acquired a non-beneficial
interest in these shares.  Following the above transactions 179,084 shares are
held by the Trustee.
