Taylor Woodrow plc Employee Share Ownership Trust

On 26 November 2002 the Taylor Woodrow plc Employee Share Ownership Trust
('ESOT') purchased 250,000 ordinary shares of 25p each in Taylor Woodrow plc at 
an average price per share of 170 pence.

The said shares were purchased to meet future maturing options under the Taylor 
Woodrow Executive Share Option Plan.

There is no change to the notional interest of Executive Directors of Taylor 
Woodrow plc in the un-appropriated balance of shares held in the ESOT. That 
balance remains 3,958 shares.
