Notification of Major Interests in Shares

Following the announcement on 9 November that RWE AG's recommended cash offers
for Thames Water Plc had become unconditional, Franklin Resources Inc and its
affiliates, which includes Franklin Mutual Advisers, LLC and Templeton
Worldwide Inc, yesterday advised the Company that they now hold less than
3.00% of Thames Water Plc shares.

Notification was also received today from the Capital Group Companies Inc, on
behalf of its affiliates including Capital Guardian Trust Company and Capital
Research and Management Company that they no longer have any interest in
Thames Water Plc shares.
