Thames Water Plc B Share Repurchase

Thames Water Plc announces that the following purchase of B Shares has taken
place, in respect of acceptances received under the Repurchase Offer announced
on 29 July 1999.

Price per share                         79 pence

Thames Water Plc has also today been notified that Mr W J Alexander and Mr D
Badcock, directors of Thames Water Plc, each sold 87 B Shares which had been
held in trust under the Thames Water Profit Sharing Scheme until 22 July 1999.
These sales were effected as part of the repurchase undertaken by the Company,
shown above. Following the sale, Mr W J Alexander and Mr D Badcock have 40 B
Shares each, which are still held in trust under the Thames Water Profit
Sharing Scheme.

A total of 92.34% of the B Shares issued pursuant to the Capital
Reorganisation on 10 August 1998 have now been repurchased and 29,141,672
remain in issue.

The shares were purchased by Cazenove & Co. acting as agent for the Company.
All the B Shares purchased will be cancelled and will not be reissued.
