Sale of Shares out of Treasury
Taylor Woodrow plc ('the company') announces that on 21 December 2006 it has
transferred an aggregate of 844,360 of its 25p ordinary shares, which were held
as Treasury shares, to employees (a) exercising share options pursuant to the
Savings-Related Share Option Scheme, at prices between 139.6 pence per share and
197.2 pence per share (b) acquiring shares pursuant to the Share Purchase Plan
(SIP) and the associated one for one match by the company (c) awarded shares
under the long service award scheme and (d) exercises under the Executive Share
Option Plan.
It has also transferred 4,000,000 shares out of its holding of Treasury Shares
to its Employee Share Ownership Trust (1996 ESOT).
The number of shares held by the Taylor Woodrow ESOT is now as follows:
1996 ESOT: 4,991,640
2004 ESOT: 134,998
Following the transfer of these shares, the company now holds 12,233,047 shares
as Treasury shares and has 581,917,049 ordinary shares in issue (excluding
treasury shares).
