Sale of Shares out of Treasury



Taylor Woodrow plc ('the company') announces that on 1 June 2005 it transferred
an aggregate of 5,176 of its 25p ordinary shares, which were held as Treasury
shares, to employees exercising share options, at prices between 139.6 pence per
share and 133.2 pence per share.



Following the transfer of these shares, the company now holds 19,048,204 shares
as Treasury shares and has 569,251,330 ordinary shares in issue (excluding
treasury shares).
