T. Clarke Plc - Acquisition of J.J. Cross Ltd., and J.J. Cross Services Ltd
The Board of T. Clarke Plc is pleased to announce that on 27th June 2001 it
acquired the entire issued share capital of J. J. Cross Ltd. ('JJC'), and J.
J. Cross Services Ltd.('JJCS').
The total consideration for the acquisition was £2,000,000 in cash, which may
be increased to a maximum of £2,150,000 dependent upon the audited net assets
at completion.
At 30th April 2001, the date to which the last audited accounts were made up,
JJC and JJCS had net assets of £1,086,241 and profits before tax were £
352,080.
JJC and JJCS are based in Preston and are engaged in electrical and mechanical
contracting.
JJC and JJCS will enable T. Clarke to continue to broaden its regional
coverage of the UK, enlarge its mechanical contracting capacity and provide an
excellent fit for further strategic development of the business.
