SAVINGS RELATED SHARE OPTION SCHEME - GRANT OF OPTIONS

On 9^th October 2015, the Directors of the Company were granted options over ordinary shares of 10p each in the capital of the Company ("Shares") under the T.Clarke plc Savings Related Share Option Scheme ("the Scheme"). 

Details of the directors and the number of shares over which options were granted to them under the Scheme are as follows:

The above represents the maximum number of options available to the directors under the rules of the Scheme.  No consideration was paid for the grant of the options.

The Scheme was formally launched for 2015 on 9^th September 2015 and was made available to all eligible employees. The options have an exercise price of 69.75 pence per share which represents a discount of 10% to the market price at close on 8^th September 2015, being the day preceding the Scheme launch.

Options may normally be exercised during the six months following the Maturity Date at the end of the three-year savings period.  The Maturity Date is 30 November 2018. A total of 1,744,284 shares are under option for the Scheme.

Following the grant of the options under the Scheme the Executive Directors hold the following beneficial interests in the issued share capital of the Company:
