Conversion Notice and Total Voting Rights
Technology Minerals Plc (LSE: TM1), the first listed UK company focused on creating a sustainable circular economy for battery metals, announces that it received a Conversion Notice on 22 March 2023 from Macquarie Bank Limited for £30,000 of Convertible Bonds of the first £500,000 tranche from the £4.0 million convertible bond facility announced on 9 December 2022. Following this, loan notes to the value of £20,000, from the first tranche, remain unconverted.
Technology Minerals will issue 3,507,049 ordinary shares of £0.01 per share ("Ordinary Shares") at a conversion price of 0.855420p per Ordinary Share.
Admission and Total Voting Rights
Application will be made for the 3,507,049 new ordinary shares, which will rank pari passu in all respects with the existing ordinary shares of the Company, to be admitted to the Standard List segment of Official List and to trading on the main market of the London Stock Exchange plc, which is expected to occur on or around 8.00 a.m. on 28 March 2023 ("Admission"). Upon Admission, the total number of issued shares and the total number of voting rights in the Company will be 1,351,330,997.
The above figure of 1,351,330,997 should be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
