Toad Plc ('the Company')

ADDITIONAL LISTING


The Company has applied for admission to the Official List of the UK Listing
Authority and for admission to trading on the London Stock Exchange for 858,369
ordinary shares of 10p each, which have been issued as deferred consideration to
the vendors of S C Hill Limited in accordance with the terms of the acquisition
agreement.  These shares will rank pari passu with the existing ordinary shares
of the Company and dealings are expected to commence on 16 September 2002.
