TOAD PLC ('the Company')



The Company has made application for the admission to the Official List of the
UK Listing Authority and for admission to trading on the London Stock Exchange
of 1,187,893 ordinary shares of 10p each (the 'New Ordinary Shares'), which
were issued and allotted in part satisfaction of the contingent consideration
due to the vendors of Sextons Group Limited.



The New Ordinary Shares will rank pari passu with the existing ordinary shares
of the Company. Dealings in the New Ordinary Shares are expected to commence
on 6 November 2001.
