TOAD plc (the 'Company')


Peter Ward Becomes Executive Chairman of Toad plc


The Company today announced that Peter T Ward will become Executive Chairman of
Toad plc with immediate effect.  Mr Ward was appointed Non-executive Chairman in
November 2001.


At the same time, Stephen Wheatley is resigning from the board as Chief
Executive and leaving to pursue other interests.  Nick Grimond, presently Group
Operations Director, is to become Chief Operating Officer, Toad plc.


Peter Ward said:


'Since joining the company in 1999 Stephen has helped guide the Toad companies
through a difficult and very challenging period and the Board is grateful for
his contribution.  I am looking forward to taking on a fuller role as Executive
Chairman and hope to announce a further non-executive appointment to the board
shortly'.
