Deferred Consideration

Toad plc ('Toad' or 'the Company')

Payment of deferred consideration to Unique Group Limited
('Unique')

Application has been made to The London Stock Exchange
Limited for admission to the Official List of 300,000
ordinary shares of 10p each of Toad, to be issued to
Unique. These shares are being issued in settlement of
the contract for the provision of various services by
Unique to Toad entered into on 8th May, 1997 and further
described in a press release on the same date.

These deferred consideration shares rank pari passu with
the existing issued ordinary shares of the Company. It is
expected that dealings in these shares will commence on
2nd September, 1999.
