Toad plc (the 'Company')



Notification of interests of directors - share options (extension of permitted
exercise period)



In recognition of his long service and contribution to the Company, the
remuneration committee of the Company has today granted an extension to the
permitted exercise period of the 156,176 options over ordinary shares in the
Company issued to Stuart Gall, a director of the Company, under The Toad plc
Unapproved Executive Share Option Scheme 1994.



These options were originally exercisable at 10p each between 12th December
1996 and 11th December 2001.  The exercise period for these options has now
been extended by three years to 11th December 2004. All other terms of
exercise remain the same.
