Toad plc (the 'Company')

On 17 June 2002, the Company was informed that, on that date, Mr Peter Ward and
Mr David Voss, both directors of the Company, respectively purchased 166,000 and
120,000 ordinary 10p shares in the Company ('Ordinary Shares') at a price of 6
pence per Ordinary Share.

Following these purchases Mr Ward and Mr Voss hold 454,333 and 245,000 Ordinary
Shares respectively representing 0.62 and 0.33 per cent respectively of the
issued ordinary share capital of the Company.
