Toad plc (the 'Company')

On 22 March 2002, the Company was informed that, on that date, Mr Wilson
Jennings and Mr David Voss, both directors of the Company, respectively
purchased 50,000 and 125,000 ordinary 10p shares in the Company ('Ordinary
Shares') at a price of 8 pence per Ordinary Share.

Following these purchases Mr Jennings and Mr Voss hold 50,000 and 125,000
Ordinary Shares respectively representing 0.07 and 0.17 per cent respectively of
the issued ordinary share capital of the Company.
