Toad plc ('Toad' or 'the Company')



On 8 August 2001, the Company received notification that Belron International
Properties N.V. ('BIP') had disposed of its interest in 2,939,130 ordinary
shares of 10p each in Toad ('Ordinary Shares') representing approximately 4.09
per cent. of the issued share capital of the Company.  On the same date the
Company was notified that Carglass Luxembourg S.a.r.L - Zug Branch ('CL') had
become interested in 2,939,130 Ordinary Shares representing approximately 4.09
per cent. of the issued share capital of the Company.



On 24 August 2001, the Company received confirmation that both BIP and CL are
part of the Belron group of companies and are both ultimately owned by Belron
S.A.   The disposal of the 2,939,130 Ordinary Shares by BIP and the
acquisition of 2,939,130 Ordinary Shares by CL was therefore an intra-group
transfer.
