Toad plc ('Toad' or 'the Company')

On 15 August 2002, the Company received notification from Royal Trust
Corporation of Canada ('RTCC') on behalf of its subsidiary RBC Investments 
('RBC') that RBC no longer has a disclosable interest in the Company.

This is a consequence of the transfer of the administration of the Solidum
Trust, which holds 5,569,118 ordinary shares of 10p each in the share capital of
the Company, from RBC to new trustees.
