Toad plc ('Toad' or 'the Company')

Application has been made to the UK Listing Authority and to the London Stock
Exchange for 4,000,000 ordinary shares of 10p each to be admitted to the
Official List.

These shares, ranking pari passu in all respects with the existing shares in
issue, will be allotted pursuant to the exercise of options and to the rules
of the 1994 Unapproved Executive Share Option Scheme (279,871 shares) and the
1997 Approved Executive Share Option Scheme (3,720,129 shares). The shares
will not be allotted immediately but as and when the scheme rules allow.
