Result of General Meeting
Tekmar Group plc, a market-leading technology provider of protection systems for subsea cable, umbilical and flexible pipes and offshore engineering services, is pleased to announce that at the General Meeting of Tekmar, held earlier today, all resolutions, including those relating to the proposed Acquisition of Subsea Innovation Ltd, were passed.
Full details of the resolutions passed are set out in Tekmar's Notice of General Meeting dated 21 August 2018 (the "Notice"), which is available on Tekmar's website, https://investors.tekmar.co.uk. Capitalised terms used but not defined in this announcement have the meaning given in the Notice.
Application will be made for the 645,161 Consideration Shares to be admitted to trading on AIM at 8.00 a.m. on 18 September 2018. Following Admission of the Consideration Shares, the Company's issued share capital will consist of 50,645,161 Ordinary Shares. There are no Ordinary Shares held in treasury. Therefore, in accordance with the FCA's Disclosure and Transparency Rule 5.6.1, the Company confirms that following Admission of the Consideration Shares, the total number of voting rights in the Company will be 50,645,161.
