              Telecom plus plc ('Telecom plus' or the 'Company')


                               Issue of shares

Telecom plus has applied for the listing of 672,412 ordinary shares of 5p each
following the valid conversion of convertible loan stock.


Accordingly, application has been made for the new ordinary shares to be
admitted to the Official List of the UK Listing Authority and to be admitted
to trading on the London Stock Exchange. The new ordinary shares will rank
pari passu with the existing ordinary shares in issue. Admission of the new
ordinary shares is expected to be effective, and dealings to commence, on 20
February 2001.
