                      Telecom plus plc ('Telecom plus')



                               Issue of shares



Telecom plus has applied for the listing of 75,878 ordinary shares of 5p each
following the valid exercise of options under The Telecom plus plc Networkers
and Consultants Share Option Scheme.



Accordingly, application has been made for the new ordinary shares to be
admitted to the Official List of the UK Listing Authority and to be admitted
to trading on the London Stock Exchange.  The new ordinary shares will rank
pari passu with the existing ordinary shares in issue.  Admission of the new
ordinary shares is expected to be effective, and dealings to commence, on 2
August 2001.
