Notification of interest
Teather & Greenwood Holdings plc (the 'Company') was informed on 8 February 2002
that on 8 February 2002, the Teather & Greenwood Holdings plc Employee Benefit
Trust ('EBT') acquired, at a price of 81 pence per share, 100,000 ordinary 10
pence shares of the Company, representing 0.35 per cent of the Company's issued
share capital. As a consequence, the EBT is now interested in 676,100 Ordinary
Shares representing 2.40 per cent of the Company's issued share capital. The
following directors along with other members of staff are potential
beneficiaries of the EBT:
J.H. Delmar-Morgan; E.K. Ford; B. Rowbotham; and N.S. Stagg.
The Teather & Greenwood Holdings plc Employee Benefit Trust was established in
April 2000 to provide rewards and benefits in recognition of continued loyalty
and performance of Teather & Greenwood employees.
