Result of EGM
At the extraordinary general meeting of Teather & Greenwood Holdings plc (the
'Company'), which took place earlier today, the resolutions put to shareholders
of the Company relating to the proposed Disposal of part of the investment
management division of Teather & Greenwood Limited and the Rights Issue,
announced on 4 February 2003, were duly passed.
Accordingly, Provisional Allotment Letters in respect of the Rights Issue will
be posted today and dealings in the New Ordinary Shares, nil paid, are expected
to commence at 8.00am tomorrow, 21 February 2003. The latest time and date for
acceptance and payment in full and registration of renunciation of Provisional
Allotment Letters is expected to be 10.30am on 17 March 2003.
Jeremy Delmar-Morgan, Chairman of Teather & Greenwood Holdings plc, commented:
'Your Board believes that Teather & Greenwood is now well positioned to
capitalise upon our core skills in the smaller companies market, comprising
agency sales, research, corporate finance and market making. Other brokers and
investment banks are leaving their small and mid cap clients giving us the
opportunity to recruit quality personnel at cost efficient levels, grow market
share in agency sales and expand our corporate client base. Indeed only this
week we were pleased to recruit the former heads of small and mid cap research
and sales from Deutsche Bank.
'Having realigned our cost base to current market conditions we believe that,
following the strengthening of our balance sheet with the proceeds of the
Disposal and the Rights Issue, the Company is well placed to take advantage of
these opportunities.'
