Annual Information Update ('AIU') for the 12 months up to 31 May 2008

1. Introduction

1.1 Tesco PLC (the 'Company') published its 2008/2009 annual accounts on 26th May 2009. This AIU is made in accordance with the requirements of Article 10 of the Prospectus Directive as implemented in the United Kingdom Prospectus Rule 5.2 and not for any other purpose and neither the Company, nor any other person, takes any responsibility for, or makes any representation, express or implied, as to the accuracy or completeness of, the information contained therein (except as expressly be set out therein).
