Annual Information Update ("AIU") for the 12 months up to 31 May 2012

1. Introduction

1.1 Tesco PLC (the "Company") has published its Annual Report and Financial Statements for the year ended 25 February 2012. This AIU is made in accordance with the requirements of Article 10 of the Prospectus Directive as implemented in the United Kingdom Prospectus Rule 5.2 and not for any other purpose and neither the Company, nor any other person, takes any responsibility for, or makes any representation, express or implied, as to the accuracy or completeness of, the information contained therein (except as expressly set out therein). The information referred to below is not necessarily up to date as at the date of this AIU and the Company does not undertake any obligation to update any such information in the future.
