Tesco PLC - Director / PDMR Shareholding

On 27 May 2011, the Directors below were granted rights over Ordinary Shares of 5p in Tesco PLC (the "Company") under the Company's Executive Incentive Plan for which no payment is required.  These shares have been awarded in respect of the 2010/11 annual deferred bonus as disclosed in the Directors' Remuneration Report 2011. The number of shares awarded was calculated using the market price of 411.75 pence.

Awards have been made in the form of nil cost options with the exception of Mr Mason, whose award is in the form of an unfunded promise to deliver shares.

The number of shares subject to the right will be increased to reflect the dividends that would have accrued on vested shares had they been reinvested in shares in the period between grant and exercise (for awards in the form of nil cost options) or grant and vesting (for awards in the form of an unfunded promise to deliver shares). The award will vest and options will become exercisable on 13 May 2014.

In addition, on 27 May 2011, the following PDMRs were granted contingent share awards over Ordinary Shares of 5p in the Company under the Company's Group Bonus Plan. The number of shares awarded was calculated using the market price of 415.975p per share.
