TESCO PLC PERFORMANCE SHARE PLAN 2011

On 1 February 2019, Alessandra Bellini, a member of the Company's Executive Committee, received 53,642 Ordinary shares of 5 pence each in the Company upon their release from an award granted under the rules of the Tesco PLC Performance Share Plan 2011 on 13 April 2017.

This represents the gross number of shares released including dividend equivalent shares which have accrued between grant and vesting.  A proportion of the shares released have been withheld to cover Income Tax and National Insurance Contributions due on release and the net shares have been transferred to Alessandra.

The share price on release was 222.0 pence per share.

Tesco PLC Savings-Related Share Option Scheme (1981)

On 1 February 2019, the following directors exercised options over Ordinary shares of 5 pence each in the Company granted under the Tesco PLC Savings-Related Share Option Scheme (1981) at an option price of 151.00 pence per share as set out below:
