The Company was informed today that the Trustees of a Family Trust of which Sir
T P Leahy is a beneficiary, sold 220,000 Ordinary shares of 5p each in the
Company on 8 July 2002 at a price of 247.00p per share. On the same day the
following options were exercised over Ordinary shares of 5p each in the Company
under the Tesco Executive Share Option Scheme.
