The Directors below have today, 28 July 2004, been granted options, at a price
of nil pence per share, under the Company's Performance Share Plan approved by
shareholders at the Company's AGM on 18 June 2004.  These options will vest on
28 July 2007, subject to the achievement of performance conditions which are
described in the Tesco PLC Report and Accounts for 2004.  The options will be
exercisable from 28 July 2008, on completion of an additional 12 month retention
period.
