DIRECTORS' SHAREHOLDINGS

The Company has been informed that Mr Philip
Clarke, Director, today exercised options over
165,504 Tesco PLC Ordinary shares of 5p each
under the Tesco Executive Share Option Scheme
(1996) at a price of 98.33p.

Following the exercise of options, Mr Philip
Clarke sold a total of 165,504 shares at a price
of 209.0p per share.
