Publication of Final Terms 

The following Final Terms are available for viewing:

1. The Final Terms dated 23 February 2009 (the '2014 Notes Final Terms') relating to the issue by Tesco PLC of £600,000,000 5.00 per cent. Notes due 2014 (the '2014 Notes') issued on 24 February 2009 pursuant to its £15,000,000,000 Euro Note Programme (the 'Programme').   

2. The Final Terms dated 23 February 2009 (the '2015 Notes Final Terms') relating to the issue by Tesco PLC of €600,000,000 5.125 per cent. Notes due 2015 (the '2015 Notes') issued on 24 February 2009 pursuant to the Programme. 

3. The Final Terms dated 23 February 2009 (the '2022 Notes Final Terms') relating to the issue by Tesco PLC of £900,000,000 6.125 per cent. Notes due 2022 (the '2022 Notes') pursuant to the Programme.

The 2014 Notes Final Terms contain the final terms of the 2014 Notes, the 2015 Notes Final Terms contain the final terms of the 2015 Notes and the 2022 Final Terms contain the final terms of the 2022 Notes and, in each case, must be read in conjunction with the Offering Circular dated 12 February 2009 relating to the Programme (the 'Offering Circular').  

The Offering Circular constitutes a base prospectus for the purposes of Article 5.4 of Directive 2003/71/EC. Full information on Tesco PLC and the offer of the 2014 Notes, the 2015 Notes and the 2022 Notes is only available on the basis of the combination of the Offering Circular and the 2014 Notes Final Terms, the 2015 Notes Final Terms and the 2022 Notes Final Terms respectively.
