Publication of Final Terms 

The following Final Terms are available for viewing:

• The Final Terms dated 17 November 2008 relating to the issue by Tesco PLC of JPY2,000,000,000 Fixed Rate Notes (the '8 September 2011 Notes Final Terms') due 8 September 2011 (the '8 September 2011 Notes') to be consolidated and form a single series with the JPY2,500,000,000 Fixed Rate Notes due 8 September 2011 issued on 8 September 2004 pursuant to its £10,000,000,000 Euro Note Programme (the 'Programme').   

• The Final terms dated 17 November 2008 relating to the issue by Tesco PLC of JPY 1,500,000,000 Fixed Rate Notes (the '13 September 2011 Notes Final Terms') due 13 September 2011 (the '13 September 2011 Notes') to be consolidated and form a single series with the JPY 2,000,000,000 Fixed Rate Notes due 13 September 2011 issued on 13 September 2004 pursuant to the Programme. 

• The Final terms dated 17 November 2008 relating to the issue by Tesco PLC of JPY 3,000,000,000 Fixed Rate Notes (the '2 September 2014 Notes Final Terms') due 2 September 2014 (the '2 September 2014 Notes') to be consolidated and form a single series with the JPY 3,500,000,000 Fixed Rate Notes due 2 September 2014 issued on 2 September 2004 pursuant to the Programme. 

The 8 September 2011 Notes Final Terms contain the final terms of the 8 September 2011 Notes, the 13 September 2011 Notes Final Terms contain the final terms of the 13 September 2011 Notes and the 2 September 2014 Final Terms contain the final terms of the 2 September 2014 Notes and, in each case, must be read in conjunction with the Offering Circular dated 23 January 2008 relating to the Programme, as supplemented by the Supplements dated 26 August 2008, 10 October 2008 and 30 October 2008 (together, the 'Offering Circular').  

The Offering Circular constitutes a base prospectus for the purposes of Article 5.4 of Directive 2003/71/EC. Full information on Tesco PLC and the offer of the 8 September 2011 Notes, the 13 September 2011 Notes and the 2 September 2014 Notes is only available on the basis of the combination of the Offering Circular and the 8 September 2011 Notes Final Terms, the 13 September 2011 Notes Final Terms and the 2 September 2014 Notes Final Terms, respectively (together, the 'Final Terms').
