As explained in the annual report and accounts for the year ended 30 April 2004,
Mr Andrew Barker elected not to stand for re-election at the 2004 Annual General
Meeting of F&C Smaller Companies PLC (the 'Company'). Accordingly Mr Barker
ceased to be a director of the Company with effect from 30 July 2004.
